To fix the problem (unhandled exception caught) you have to do next:
1. Go to Control Panel
2. The click on "Hardware and Sound"
3. Click on "Sound"
4. Doble click on "speakers"
5. go to the Advanced tab
6. Set the default format to "24 Bit, 48000 Hz (Studio Quality)"
7. Thats it!
Sounds COOL ha? but guess what my cod5 is working :)

EDIT: Oh and by the way YES you have to install DX 9.0c :)
and maybe just update your Display drivers (not necesery tho)
LINKS:
DirectX 9.0c Full Download (english)
DirectX End-User Runtimes (August 2008)
Now be sure you install both DX like this: When asked to select a folder you want just type in C:\Programs Files\Filename (or something else you like)... Then go to the selected folder and doubleclick on DXSETUP.exe
SCREEN:
That should do it.. GOOD LUCK!
